Terms of Service
These Terms of Service (the "Terms") govern your access to and use of Ambient's website, APIs, models, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
1. Definitions
- "API" means Ambient's application programming interfaces and related endpoints.
- "Content" means any prompts/inputs, files/attachments, tool payloads, and other data you submit to the Services.
- "Output" means any results, completions, responses, classifications, embeddings, or other outputs generated by the Services.
- "Chat Data" means conversation history or transcripts you choose to save within an Ambient interface.
- "Third-Party Platform" means a service that routes requests to Ambient or integrates the Services (e.g., OpenRouter).
2. Privacy and data handling
Our Privacy Policy describes how we handle information and is incorporated by reference.
Zero content retention for inference: Ambient processes Content only to generate and return Output. Ambient does not log or retain inference request/response Content from API requests (including requests routed through Third-Party Platforms), and does not use such Content to train, fine-tune, evaluate, or improve models.
Chat Data storage is opt-in: If you choose to save Chat Data, you can delete it in the interface. You may request bulk deletion (including account-level deletion) via [email protected].
3. Eligibility and account registration
You must be at least the age of majority in your jurisdiction to use the Services. You are responsible for maintaining the confidentiality of your account credentials and API keys, all activity under your account, and promptly notifying us of suspected unauthorized access.
4. License and permitted use
Subject to these Terms, Ambient grants you a non-exclusive, non-transferable, revocable right to access and use the Services in accordance with the documentation and these Terms.
You agree to use the Services only in compliance with applicable laws and regulations, including export controls and sanctions laws.
5. Acceptable use and restrictions
You will not, and will not help others to:
- Abuse or harm: Use the Services to violate the law, infringe rights, harass, threaten, defame, or exploit others; to facilitate violence or illegal activity; or to produce or distribute child sexual abuse material (CSAM) or any sexual content involving minors.
- Security and misuse: Attempt to probe, scan, or test the vulnerability of the Services; bypass rate limits or access controls; interfere with or disrupt the Services; introduce malware; or use the Services to develop or distribute malicious code.
- Reverse engineering / model extraction: Reverse engineer, decompile, disassemble, or attempt to derive source code, underlying model weights, or system prompts; or engage in automated scraping, extraction, or replication of the Services except as expressly permitted by the documentation.
- Illegal or prohibited content: Use the Services to generate or distribute content that is illegal where it is created, used, or distributed.
- High-risk use without safeguards: Rely on Outputs as a sole source of truth for decisions that could cause harm (e.g., medical, legal, financial, safety-critical). You are responsible for human review and appropriate safeguards.
We may suspend or terminate access for violations or suspected violations of these Terms.
6. Third-Party Platforms and integrations
If you access Ambient via a Third-Party Platform, your use may also be governed by that platform's terms and policies. Ambient is not responsible for Third-Party Platforms, including their data handling, availability, or pricing.
Important: Third-Party Platforms may log or retain Content independently. Ambient's zero content retention applies to Ambient's handling as described in our Privacy Policy.
7. Content and Output
7.1 Your Content
As between you and Ambient, you retain your rights in Content. You represent and warrant that you have all rights necessary to submit Content and that doing so does not violate law or any third-party rights.
7.2 Output
As between you and Ambient, to the extent permitted by law, you own the Output generated for you. However:
- Output may be similar or identical for other users (e.g., common answers), and such similarity does not create exclusivity.
- Ambient makes no guarantees that Output is unique, correct, or fit for any particular purpose.
7.3 Responsibility for use
You are solely responsible for evaluating Output for accuracy and suitability, ensuring your use of Output complies with applicable law and third-party rights, and implementing appropriate human oversight and safeguards.
8. Chat Data features (saved only when you choose)
If the Services include a chat interface that allows saving Chat Data:
- Saving chats is optional and controlled by you.
- You can delete chats at any time within the interface.
- You may request bulk deletion or account deletion via [email protected].
9. Service availability, changes, and support
We may update, change, or discontinue parts of the Services at any time. We will use commercially reasonable efforts to maintain availability, but we do not guarantee uninterrupted operation.
Support channels (if any) are described on ambient.xyz or in the documentation.
10. Fees, billing, and taxes
Some Services may require payment (e.g., usage-based fees or subscriptions). If you purchase paid Services, you agree to pay all applicable fees and taxes, provide accurate billing information, and comply with any usage limits and rate limits.
Unless otherwise stated in an order form or plan terms, fees are non-refundable except where required by law. We may change pricing with notice as required by law or by posting updated pricing for future billing periods.
11. Suspension and termination
11.1 By you
You may stop using the Services at any time. If you want bulk deletion or account deletion, contact [email protected].
11.2 By Ambient
We may suspend or terminate your access immediately if you violate these Terms, your use creates security risk or operational harm, or we are required to do so by law.
11.3 Effect of termination
Upon termination, your rights to use the Services cease. Sections that by their nature should survive termination will survive (including IP, disclaimers, limitation of liability, indemnity, and dispute resolution).
12. Intellectual property
Ambient and its licensors retain all rights, title, and interest in and to the Services, including all software, models, documentation, and trademarks, except for rights expressly granted to you in these Terms.
You may not use Ambient's trademarks without prior written permission, except as necessary to identify Ambient as the service provider in a truthful manner.
13. Feedback
If you provide feedback or suggestions, you grant Ambient a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate the feedback without obligation to you.
14. Disclaimers
THE SERVICES AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." AMBIENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
AMBIENT DOES NOT WARRANT THAT OUTPUT WILL BE ACCURATE, RELIABLE, OR ERROR-FREE, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR SECURE.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- AMBIENT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
- AMBIENT'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO AMBIENT FOR THE SERVICES IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless Ambient and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your Content, your use of Output, your violation of these Terms or applicable law, or your infringement of any third-party rights.
17. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, excluding its conflict of laws rules.
Venue: Except where prohibited by law, you agree that any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.
18. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide notice by posting updated Terms, and/or through the Services. Continued use after the effective date of the updated Terms constitutes acceptance.
